NON-DISCLOSURE AGREEMENT

 WHEREAS, each party (the “Receiving Party”) understands that the other party (the “Disclosing Party”) may disclose certain Confidential Information as further described in Section 1 below for the purpose of evaluating a potential commercial transaction between the parties.
鉴于，协议一方（“接受方”）理解，协议各方为了潜在的商业交易磋商，协议另一方（“披露方”）会向其披露本协议第1部分所描述的一定保密信息；

 WHEREAS, in consideration of the disclosure of such information to FMIC and/or                   , FMIC and/or           is willing to keep such information confidential in accordance with the terms and conditions set forth in this Agreement.
鉴于，由于FMIC公司和/或        公司将向对方披露此类信息，FMIC公司和/或         公司愿意按照本协议约定的条款维持此类信息的保密状态。

NOW, THEREFORE, FMIC and                     hereby agree as follows:
兹有鉴于此，FMIC公司和           公司同意如下约定：

1. 0   Definition of Confidential Information     保密信息的定义
 “Confidential Information” shall mean (i) all information disclosed in tangible form by the Disclosing Party and marked “confidential” or “proprietary”, 需要请购买全文发明（无论是否申请专利）、图表和其它技术、商业、财务以及产品开发计划、预测、战略的信息。

2. 0   Confidentiality Obligation    保密义务
The Receiving Party agrees to protect the Confidential Information by using the same degree of care, but not less than a reasonable degree of care, 需要请购买全文（i）有必要知晓并且被告知此类保密信息仅用于本协议约定的目的；和（ii）承担不少于本协议约定程度的保密义务。

3.0    Term  保密期限
The Receiving Party’s obligation to protect Confidential Information hereunder shall expire       years from the date of each such 需要请购买全文则接受方对此类保密信息应承担永久保密义务。

4. 0   Exclusions  除外条款
Confidential Information shall not include Confidential Information that:  (i) is or becomes a matter of public knowledge through no fault of the Receiving Party; or 需要请购买全文并且此类披露的范围应当限制在合理范畴内。

5. 0   Ownership  所有权
All Confidential Information, unless otherwise specified in writing, (a) remains the property of the Disclosing Party, and 需要请购买全文销毁保密信息，和其任何所有复印件或摘录，并且向披露方提供一份由接受方授权代表签署的此类销毁的书面确认书。

6.0    Intellectual Property Rights  知识产权
Neither party acquires any intellectual 需要请购买全文并没有获得本协议项下或通过任何方式披露的保密信息的知识产权。

7. 0  Warranty  保证
The Confidential Information disclosed under this Agreement is delivered “AS IS,” 需要请购买全文披露方均不予承担有关责任。

8. 0   Notices   通知

9.0 General   Terms  一般条款
9.1   This Agreement supersedes all prior discussions and writings with respect 需要请购买全文delay in enforcing any right will be deemed a waiver.

没有协议对方的事先书面同意，任何一方不得将本协议或者本协议项下受限制的权利或者义务转让给第三方。
9.4    This Agreement shall be governed by the laws of the People’s Republic of China, without regard to conflicts of law provisions. 
本协议应适用中华人民共和国的法律，冲突法除外。
9.5   The headings to the Sections of this Agreement are included merely for reference and shall not affect the meaning of the language included therein.
本协议各个部分的标题仅作参考之用，不得影响协议各部分条款的含义。
9.6   This Agreement is written both in the English language and in the Chinese language, and, in case of discrepancies, the Chinese version shall be preferred.
协议采用英文及中文书写，而且当二者出现差异时，以中文版本效力优先。

10.0 Arbitration  仲裁
All disputes arising from or in connection with this 需要请购买全文及中国法律进行仲裁。仲裁裁决是终局的，对双方均有约束力。
